The Banking & capital markets specialist unit is a part of the FS Group. It is made up of professionals with sound experience, highly qualified to give legal, regulatory and tax assistance to banks and other financial entities (stockbroking companies (SIM), asset management companies (SGR), holding companies and bank foundations) on both routine and extraordinary transactions.
As regards legal advice, our services provide assistance with contracts and supervisory instructions and all legal and regulatory issues in general (banking law section). Our help in tax matters covers assistance in calculating and paying direct taxes (corporate income tax (IRES) and local tax on production activities (IRAP)) and indirect taxes (stamp duty, substitute tax on loans, VAT, single municipal tax (IUC), registration tax), in compiling the relative returns and sending them to the tax authorities and in assisting with the compilation of the standard and simplified Form 770.
Extraordinary or non-recurring work includes drawing up opinions on specific legal, regulatory and tax matters, the preparation of requests for rulings from the tax authorities and their presentation, assistance in litigation before tax boards and due diligence preliminary to acquisitions or capital increases.
The Banking & capital markets specialist unit’s professionals constantly take an active part in round tables with the tax managers in the leading Italian banks: among the fruits of this collaboration has been the first edition of a manual on bank taxation published by Il Sole24Ore.
The unit’s professionals also work in close contact with trade associations: they are the tax advisors to the Association of Foreign Banks in Italy (AIBE) and are at present involved in a major project with the Italian Bankers’ Association (ABI) regarding the banking world’s tax obligations in the light of some regulatory instructions issued by the Bank of Italy (the ABI TACS project).
